This Agreement is between the undersigned Participant (or Parent/Guardian if Participant is under 18) and BOXING UNIVERSITY LLC (doing business as TEN COUNT BOXING), including its owners, trainers, employees, contractors, and agents (collectively referred to as the "Released Parties").
1. Acknowledgment of Inherent Risks
I understand and acknowledge that boxing, sparring, pad work, heavy bag training, strength and conditioning, and general gym activities are high-impact, strenuous physical activities that carry inherent risks. These risks include, but are not limited to:
Scrapes, cuts, bruises, burns, and dental/facial injuries.
Sprains, fractures, broken bones, and joint dislocations.
Concussions, traumatic brain injuries (TBI), and head trauma.
Cardiovascular events (e.g., heart attacks, strokes, dehydration).
Injuries resulting from equipment malfunction, slippery floors, or contact with other participants, trainers, or spectators.
Serious permanent disability or death.
2. Voluntary Participation & Physical Fitness
I represent that I am voluntarily choosing to participate in these activities and that I am in good physical condition. I acknowledge that it is my sole responsibility to consult with a physician prior to engaging in any boxing or fitness programs to ensure I am medically fit to train. I agree to disclose any physical limitations, pre-existing injuries, or medical conditions to the staff before training begins.
3. Explicit Assumption of Risk
I knowingly, freely, and voluntarily assume all risks, both known and unknown, associated with my participation in boxing training, sparring, classes, and use of the facility, even if arising from the negligence of the Released Parties or others. I assume full responsibility for my own safety and behavior.
4. Release and Waiver of Liability
I hereby release, waive, and forever discharge the Released Parties from any and all claims, demands, liabilities, causes of action, or lawsuits for personal injury, property damage, or wrongful death resulting from my presence at the facility or participation in gym activities, whether caused by the active or passive negligence of the Released Parties or otherwise, to the fullest extent permitted by law.
5. Indemnification
I agree to indemnify, defend, and hold harmless the Released Parties from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or resulting from my participation in gym activities or my presence on the premises, including any claims brought by me, on my behalf, or by a third party.
6. Sparring and Contact Policy (If Applicable)
I understand that competitive sparring or controlled contact training is completely optional. If I choose to engage in sparring, I agree to wear all required safety gear (including a mouthguard and approved headgear) and strictly follow the trainer’s commands. I acknowledge that sparring significantly increases the risk of severe head and bodily injury.
7. Medical Treatment Authorization
In the event of an emergency, injury, or illness during gym activities, I hereby authorize the staff of the Business to secure first aid and/or medical treatment deemed advisable, including ambulance transport. I agree that I am solely responsible for all costs and expenses incurred for such medical treatment and transport.
8. Photography and Media Release
I grant permission to the Business to use my image, likeness, voice, or video recordings taken during gym activities for promotional, marketing, or educational purposes (including social media and websites) without compensation or further approval.
9. Severability and Governing Law
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of the State of California, and any legal proceedings shall take place exclusively in San Diego County, CA.
